The terms “you” or “your”, mean both you and any entity or firm you’re authorised to represent.
The terms “The Social Approach”, “we”, “our” or “us”, refers to The Social Approach, a division of Bullseye Productions Limited.
Our “Content” includes (but is not limited to) our social media templates, story sets, social media plans and images.
Our “Services” consist of all the services we provide now or in the future, including (but not limited to) our Content.
We reserve the right to update, change or replace any part of these Terms at any time for any reason by posting updates and/or changes to our website. Your continued use of our website and/or Services following the posting of changes will mean that you accept and agree to the changes.
Your Account
To use our Services, you must provide personal information about yourself in order to create an account. Our privacy policy sets out how we process your personal information that you provide to us.
You must ensure that your account details are complete and accurate when submitted to us and you must keep your account details up to date. You must ensure that all usernames and passwords required to access our website are kept secure and confidential and you must notify us immediately of any unauthorised use of your password or any other breach of security.
You must not transfer your account to another user or maintain more than one account with us. Each subscription is an individual account for one member only.
By creating an account, you consent to receiving marketing, promotional and other material by way of electronic messages from us.
We may at our sole discretion, at any time and without notice to you, suspend or terminate your account, or your ability to use our Services.
Subscription & Fees
We offer monthly and annual subscription plans for our Services. Your subscription will automatically renew at the end of each term until it is cancelled.
When you subscribe, you acknowledge and agree that we, or our third-party payment processor, is automatically authorised to charge you for your subscription plan, for as long as your subscription plan continues.
By subscribing to our Services, you agree to pay the fees set by us. We reserve the right to increase our fees at any time. All fees are expressed inclusive of Goods and Services Tax, unless expressed otherwise.
You may cancel your subscription at any time by emailing us at support@thesocialapproach.com. You must cancel at least 48 hours prior to your renewal date to prevent the next payment subscription from being processed and billed. Please note that all subscription payments made by you will not be refunded.
We offer monthly multi-licence subscriptions for communication consultants, social media managers, website designers and business coaches. This allows you to use our Services for more than one customer and/or organisation. Multi-licence subscriptions are assigned to a single account holder who may distribute our content according to the number of licenses purchased.
Any increases in our subscription fees will only apply to new subscriptions. Once you subscribe to a plan, the price you pay to subscribe to our Services (excluding the first month discounted fee and any other discounted promotional fees) will remain the same for you, even if we increase our fees. However, if you cancel your subscription and re-subscribe at a later date, the current fees will apply.
Usage Agreement
The Social Approach owns copyright in all our Content and in the Services we provide, including all content provided on our website. You acknowledge that we own all the intellectual property rights in the Content and the Services and you will not do anything that would or might invalidate or put in dispute our title in the Content or Services.
Our privacy policy When you subscribe you will have access to the Content we provide during the months you have an active subscription. You will not have access to past Content prior to your membership.
When you subscribe, we grant you (subject to the conditions below) a non-exclusive, non-transferable licence to use, modify and reproduce the Content that we have provided you access to, in the following ways:
as a digital reproduction on websites, in social media, e-publications, email marketing and in online media; andin printed form as part of product packaging and labelling, magazines, newspapers and books, provided that no image is reproduced more than 10,000 times; andFor your own personal, non-commercial use.
You must not:
- Use our Content for any purpose or in any manner other than as set out in the clause above.
- Use our Content for any illegitimate purpose, nor use our Content in a defamatory, abusive or otherwise objectionable manner.
- You must not, in the use of our Content, violate any laws in your jurisdiction.
- Permit any third party to use or repurpose the Content unless you hold a multi-licence subscription in which case you may distribute the Content in accordance with the number of licences purchased.
- Use our Content as part of merchandise intended for sale or promotional distribution, including but not limited to artwork, wall art, calendars, cards, business cards or stationery.
- Use our Content as part of a trademark, design mark, trade name, business name, service mark, logo or letterhead.
- Incorporate our Content as elements of digital templates for sale or distribution.
- Sell, transfer, sub-licence, assign, or give away our Content or Services to a third-party.
- Remove any copyright, proprietary notices, trademarks or logos on any Content.
Disclaimer
Our Services and our Content are provided for general information and use only. We make no representations or warranties regarding use, or the results of use, of any of our Content. We do not guarantee that your will achieve any results or increase your revenue by using our Content and/or our Services. Our Content is opinion only and is not legal, medical or financial advice.
We cannot guarantee that our Content is accurate, current or error-free. If you believe any of our Content is incorrect, please notify us by email support@thesocialapproach.com. We do not provide any warranties in relation to the amount of Content produced or made available to you.
We will not be liable for any delay or failure to provide Content resulting, directly or indirectly, from any event beyond our control, including but not limited to, any force majeure event or as a result of a pandemic.
Linking
Our Content or Services may include links to third party materials. We will not be responsible for the content of any linked sites or liable for any direct or indirect loss or damage suffered by you from accessing, using, relying on or trading with third parties. The linked sites are provided to you only as a convenience, and the inclusion of any linked site does not imply any endorsement of it by us or any association with its operators. We reserve the right to prohibit links to our website and you agree to remove or cease any link on our request.
Communication tools
If you use any communication tools available through our website (such as any forum, chat room or message centre), you agree only to use those communication tools for lawful and legitimate purposes. You must not use any communication tool for posting or disseminating any material unrelated to our Services, including (without limitation) the offer of goods or services for sale, files that may damage any other person’s computing devices or software, content that may be offensive to any other users of our website, or material or data in violation of any law (including data or other material that is protected by copyright or trade secrets which you do not have the right to use). When you make any communication on our website, you represent that you own the content of the communication.
We are under no obligation to ensure that the communications on our website are legitimate, and we are not able to monitor communications at all times. If you are a consumer using our website for non-business activities, then nothing in these terms and conditions is intended to abrogate any rights you might have under the Consumer Guarantees Act 1993 (if any).
Indemnity
You will take all necessary action to defend and indemnify us and our directors, employees and agents against all costs, expenses and damages incurred in connection with any claim brought by a third party against us that arise from a breach by you of any of these terms and conditions.
General
If at any time we do not enforce any of these terms or conditions, or grant you time or any other indulgence, we will not be construed as having waived that term or condition or our rights to later enforce that, or any other, term or condition.
Further, if any part or provision of these terms and conditions is considered to be invalid, unenforceable or in conflict with the law, that part or provision is deemed to be modified by a provision which, as far as possible, accomplishes the original purpose of that part or provision. The remaining terms and conditions will continue to be binding on the parties.
These terms and conditions are governed by and will be construed in accordance with the laws of New Zealand, and you submit to the exclusive jurisdiction of the Courts of New Zealand.
If you use our Content in a jurisdiction other than New Zealand, you are responsible for compliance with any applicable laws of that jurisdiction.
